• • Morasalaty, and every electronic interface, electronic portal, cloud platforms, and APIs of Morasalaty are maintained and operated by AlRuya Almubtakra. Morasalaty WhatsApp with end users and many other solutions and features as described at www.morasalaty.com or www.morasalaty.net, regardless of whether this service is provided on a trial basis, alpha/beta preview release, or provided free of charge in any other way
    
    
  • "You" or "your" means you, one or more users of AlRuya Almubtakra platforms, including but not limited to any legal entity having a service contract with AlRuya Almubtakra to use and access one or more of AlRuya Almubtakra platforms
  • Access to and use of AlRuya Almubtakra platforms is subject to these terms and conditions (Terms). By accessing and using AlRuya Almubtakra platforms, you agree to be bound by these terms, which AlRuya Almubtakra may modify at any time without notice.

In case of any conflict or inconsistency between these Terms of Use and the service contract with AlRuya Almubtakra, the provisions of the service contract shall prevail.

Use of AlRuya Almubtakra Platforms

When accessing or using AlRuya Almubtakra platforms, you warrant the following:

• Without affecting your obligations under these Terms, you will comply with all applicable laws and regulations regarding your activities while using, accessing, and using the AlRuya Almubtakra platform;
• You will bear full responsibility for the content, including the accuracy and correctness of the information and content you upload to AlRuya Almubtakra platforms, and you acknowledge and agree that AlRuya Almubtakra is not obligated to monitor or supervise any such content or information;
• You are solely responsible for purchasing, maintaining, and securing your network communications and links from your systems to AlRuya Almubtakra platforms, and for all problems, conditions, delays, delivery failures, and all other losses or damages arising from or related to your network communications or wired and wireless links or caused by the internet;
• You will not distribute or transmit any material through your use of AlRuya Almubtakra platforms that:
  • Is illegal, harmful, threatening, defamatory, obscene, infringing, harassing, racially offensive, ethnically offensive, religiously offensive, or contrary to Islamic law or public policy;
  • Facilitates or incites illegal activity;
  • Depicts sexually motivated or explicit images;
  • Promotes or incites illegal violence;
  • Is discriminatory based on race, gender, color, religious belief, sexual orientation, or disability;
  • Violates copyright, trademark, or other intellectual property rights of AlRuya Almubtakra or any third party whatsoever; or
  • Is illegal or causes harm or injury to any person (natural or legal) or property;
• You will not attempt to copy, modify, duplicate, create derivative works from, frame, mirror, copy, republish, download, display, transmit, or distribute all or any part of AlRuya Almubtakra platforms in any form or media or by any means;
• You will not attempt to decompile, reverse engineer, disassemble, or reduce by any means to a human-perceivable form all or any part of AlRuya Almubtakra platforms;
• You will not access all or any part of AlRuya Almubtakra platforms to build a product or service that competes with the business of AlRuya Almubtakra and/or AlRuya Almubtakra platforms;
• Not transfer the services provided through the platform or resell, rent, license, or make them available in any other way to any third parties or offer them independently; and
• You will not introduce or allow the introduction of any virus or security vulnerability into AlRuya Almubtakra platforms or AlRuya Almubtakra's information networks and systems.

To the fullest extent permitted by law, AlRuya Almubtakra does not guarantee or represent:

• • That the performance of AlRuya Almubtakra platforms will meet your requirements;
  • That use or access to AlRuya Almubtakra platforms will be uninterrupted;
  • That AlRuya Almubtakra platforms are free from defects, viruses, or vulnerabilities;
  • The accuracy, reliability, or completeness of any content on any AlRuya Almubtakra platform.
• AlRuya Almubtakra platforms (including their content) are provided to you "as is" and "as available" and you bear full responsibility for assessing the suitability of accessing and using AlRuya Almubtakra platforms, and accessing and using AlRuya Almubtakra platforms is at your own risk.
• AlRuya Almubtakra platforms may be modified without notice.
• AlRuya Almubtakra will not be liable or obligated to you for any loss or damage you incur, including but not limited to damage to your software or devices or data loss, arising from your use of or access to AlRuya Almubtakra platforms, or unavailability of AlRuya Almubtakra platforms.
• AlRuya Almubtakra reserves the right to restrict, suspend, or terminate your access without prior notice to all or any of AlRuya Almubtakra platforms or any content or feature in any AlRuya Almubtakra platform at any time without notice and will not be liable for any loss or cost, damage, or liability that may arise as a result.
• AlRuya Almubtakra's liability for any breach of any term or condition of these Terms, at AlRuya Almubtakra's discretion, is limited to providing any service again or paying the value of the fees paid by the client, minus all expenses and costs for all other parties - third-party providers used concurrently with providing the service to you, including but not limited to fees charged by the operator or third-party service provider used concurrently with providing the service, as of the date of the event that led to the relevant claim of breach of a term or condition of these Terms.
• Nothing in these Terms claims to modify or exclude terms, warranties, representations, and other legal rights under the law that cannot be excluded.
• To the fullest extent permitted by law, AlRuya Almubtakra shall not be liable to you under any circumstances for any direct or indirect loss (including but not limited to loss of profits, sales, business, or revenue, business interruption, loss of expected savings, loss of business opportunity, reputation or goodwill, or any consequential loss or damage) or damage or expenses - regardless of how they occur - which you may suffer due to your use of AlRuya Almubtakra platforms and/or the information or materials contained in AlRuya Almubtakra platforms, or due to the inability to access AlRuya Almubtakra platforms and/or the fact that some information or materials on AlRuya Almubtakra platforms are incorrect, incomplete, or outdated.
• You agree to indemnify AlRuya Almubtakra and all of its directors, officers, employees, and agents against any action, claim, loss, or expense you incur arising from your breach of these Terms and access to and/or use of AlRuya Almubtakra platforms, including but not limited to resulting from your submission of content to AlRuya Almubtakra platforms in any form.

• AlRuya Almubtakra platforms may contain links to other sites or be integrated with other platforms. These links and integrations are provided for convenience only and may not remain current or be maintained.
• Unless expressly stated otherwise, AlRuya Almubtakra does not endorse the content on those linked or integrated sites and is not responsible for it, nor does AlRuya Almubtakra control those linked or integrated sites and does not own rights in those linked sites or integrated platforms.
• AlRuya Almubtakra does not guarantee that the functionalities on AlRuya Almubtakra platforms, such as links and integrations, will be uninterrupted or error-free, or that defects will be corrected or that the server providing them will be free from viruses or security vulnerabilities.
• AlRuya Almubtakra is not responsible to you or anyone else in case of interference or damage to your computer systems regarding the use or access to AlRuya Almubtakra platforms or a linked website or integrated platform.

Intellectual Property Rights

• AlRuya Almubtakra owns or licenses from third parties all rights, title, and interests (including copyrights, designs, patents, trademarks, and other intellectual property rights) worldwide in AlRuya Almubtakra platforms and all materials (including all text, graphics, logos, audio, software) available on and through AlRuya Almubtakra platforms (Content).
• Your access to and use of AlRuya Almubtakra platforms and use of any content and access thereto does not grant you any rights, title, or interest in relation to AlRuya Almubtakra systems or content. However, AlRuya Almubtakra grants you a license to access and use AlRuya Almubtakra platforms and view content during the term of any service contract with AlRuya Almubtakra, subject to these Terms, and where applicable, as expressly authorized by AlRuya Almubtakra and/or third-party licensors.
• Any copying or redistribution of AlRuya Almubtakra platforms or content is prohibited and may lead to civil and criminal penalties. Additionally, you must not copy content to any other server or site or support for publication, reproduction, or distribution is expressly prohibited.
• Any use, copying, or reproduction of AlRuya Almubtakra platforms or content or any part thereof is prohibited except to the extent permitted by law.

Definitions

In these Terms:

• Affiliate means, with respect to a legal entity or person:
  • A person who directly or indirectly controls, is controlled by, or is under common control with such legal entity or person;
  • Any trust or estate where such first person acts as trustee, executor, or similar capacity (including any guardian or credit agent) or has a substantial beneficial interest;
  • Any collective investment scheme or open or closed investment company managed or operated directly or indirectly by that person; and

• Control means, with respect to any person, having direct or indirect authority to direct or cause the direction of the management of that person, whether by ownership of shares or securities, partnership, other ownership interests, membership interests, agreement, or otherwise, provided that if a person owns, directly or indirectly, 50% or more of the capital, voting securities, partnership or other ownership interests, or membership interests of another person, that person shall be deemed to control the other person and the terms control and controlled shall be interpreted accordingly.
• Intellectual Property Rights means any and all intellectual and industrial property rights worldwide, including but not limited to all rights embodied in any copyright (including future copyrights and rights of a similar nature or equivalent), patents, designs, trademarks, circuit layouts whether under common law or granted by statute, whether now existing or hereafter created, whether registered or registrable and including any rights to apply for registration, trade secret or know-how protection, goodwill or confidential information throughout the term of such rights and any renewals or extensions thereof.
• Virus means anything or device (including any software, code, file, or program) which may:
  • Prevent, impair, or negatively affect the operation of any computer program, device, network, communication service, equipment, network, or any other service or device;
  • Prevent, hinder, or negatively affect access to or operation of any program or data, including the reliability of any program or data (whether by rearranging, altering, erasing the program or data in whole or in part or otherwise); or
  • Negatively affect the user experience, including worms, trojans, viruses, and other similar things or devices.
• Vulnerability means the existence of a weakness in the computational logic (including but not limited to code) in software and hardware components which, when exploited, results in a negative impact on its confidentiality, integrity, or availability.

Severability

If any provision of these Terms is held to be illegal, invalid, or unenforceable, in whole or in part, the provision shall be applied with all necessary deletions or modifications so that the provision is legal, valid, and enforceable and effectuates the commercial intent of these Terms. If the provision cannot be deleted or modified, in whole or in part, the provision or part thereof, to the extent it is held illegal, invalid, or unenforceable, shall be severed from these Terms and the legality, validity, and enforceability of the remainder of these Terms shall not be affected.
